Shareholders approve Kongsberg Maritime spin-off

The decision clears the way for Kongsberg Maritime to be listed as an independent company on the Oslo Stock Exchange on 23 April.

Following the approval, Kongsberg Gruppen will continue as two distinct companies. Kongsberg Defence & Aerospace and Kongsberg Discovery will form the new KONGSBERG, while Kongsberg Maritime will be spun off as a standalone, publicly listed maritime technology company.

“This was one of many milestones we will go through, and it was good to have this step confirmed,” said Lisa Edvardsen Haugan, incoming chief executive of Kongsberg Maritime.

“At Kongsberg Maritime, we are ready to take the next step and stand on our own feet. We are uniquely positioned to take part in the upcoming value creation in the global maritime sector.”

Since the separation was announced on 30 October 2025, Kongsberg Maritime has undertaken extensive preparations for independence. A new management team has been established, the divisional structure has been adjusted and key support functions have been strengthened to support future growth.

On the ownership side, the Norwegian state has announced its intention to retain a 50.004% majority stake in both the new KONGSBERG and Kongsberg Maritime. “I am very pleased that the Norwegian government recognises the importance of retaining its ownership,” Edvardsen Haugan said.

The newly appointed board of Kongsberg Maritime will be chaired by Per Arthur Sørlie, alongside board members Margareth Øvrum, Ivar Hansson Myklebust, Kristin Holth and Anders Bade.
